2. Terms & Conditions

Article 1 — Scope

These Terms & Conditions apply to all consulting services agreed between AL Agency and its professional clients (SMEs). Ordering any service implies unreserved acceptance of these Terms & Conditions.

Article 2 — Services offered

AL Agency offers the following services:

• Audit & Recommendations — Comprehensive analysis of processes, costs, benefits and SWOT. Fee: €2,000 excl. VAT per engagement.
• Project Management — Operational leadership, weekly reviews, KPIs and coaching. Fee: €3,000 excl. VAT per month.

Article 3 — Quotation & order

Each service is subject to a detailed, personalised quotation. The quotation is valid for 30 days from its issue date. The engagement begins upon signature of the quotation and receipt of the deposit.

Article 4 — Pricing & payment

Prices are quoted in euros, exclusive of VAT. Applicable VAT will be added in accordance with current regulations.

• Audit & Recommendations: 50% upon signature, 50% upon delivery of the final report.
• Project Management: Monthly invoicing, payable within 30 days of receipt.

In the event of late payment, late-payment interest at 3 times the legal interest rate shall apply, together with a fixed recovery charge of €40.

Article 5 — Duration & termination

The project management engagement is agreed for a minimum of 3 months. Thereafter, it continues on a rolling monthly basis and may be terminated by either party with 30 days' written notice by email with acknowledgement of receipt.

Article 6 — Client obligations

The client undertakes to provide all information necessary for the proper delivery of the engagement, to designate a dedicated contact person and to ensure the availability of relevant teams during the diagnosis and review phases.

Article 7 — Confidentiality

AL Agency undertakes to treat as confidential all information communicated by the client in connection with the engagement. This confidentiality obligation remains in force for 2 years after the end of the service.

Article 8 — Limitation of liability

AL Agency provides advisory services. Recommendations do not constitute a guarantee of results. AL Agency's liability shall not exceed the fees received for the engagement in question.

Article 9 — Governing law & disputes

These Terms & Conditions are governed by French law. In the event of a dispute, the parties agree to seek an amicable resolution. Failing this, the dispute shall be referred to the competent French courts.
